Money Services Business Registration
Every money services business must register with FinCEN. Who must register with FinCEN, when the 180-day window applies, and what filing covers.

Who has to register
The money services business registration rule looks at what a business does. It does not look at what the business calls itself. FinCEN's guidance says whether a person counts as an MSB depends on the person's activities and not its formal business status.
The activity decides.
The rule itself is broad. § 1022.380 says every money services business must register with FinCEN, whether or not licensed by any State. Holding a state license does not excuse the federal filing.
§ 1022.380 also says who does not file.
Agents, branches, owners and controllers
§ 1022.380 deals with agents, branches, and owners and controllers.
An agent does not file. § 1022.380 says a money services business that serves only as an agent of another money services business is not required to register. The key word is only.
A branch does not file separately. § 1022.380 says a branch office of a money services business is not required to file its own registration form.
Someone still has to own the task. § 1022.380 says any person who owns or controls a money services business is responsible for registering the business. § 1022.380 also says the failure of a designated person to register does not relieve the other owners or controllers of liability. If the person picked to file drops the ball, the rest still carry the duty.
The 180-day window
FinCEN's guidance says a non-exempt person engaged in money transmission must register with FinCEN as an MSB within 180 days of starting.
The clock starts when the money transmission starts.
Note what the rule covers here. The 180-day window in the guidance speaks of money transmission.
What filing involves
The filing is one form. FinCEN's alert says a form is filed to register a money services business with FinCEN or to renew such a registration. One form covers the first filing and the renewal alike.
There is one form per period. § 1022.380 says only one registration form is required to be filed for each registration period. After that, the form is filed again to renew.
The agent list
Registration brings a second job. § 1022.380 says a money services business must prepare and maintain a list of its agents, revised each January 1.
The list is not just names. § 1022.380 says the agent list must show the months when the agent's gross transaction amount for the business's products or services exceeded $100,000. So the list records, for each agent, the months its gross transaction amount went over $100,000.
The list has to be reachable. § 1022.380 says a money services business must make its list of agents available to FinCEN and other law enforcement agencies upon request.
And it has to be kept. § 1022.380 says the original list of agents and any revised list must be retained for the period specified in § 1010.430(d).
What registration does not cover
Registration is only the first step.
FinCEN's guidance says money transmitters must comply with recordkeeping, reporting, and transaction monitoring obligations in Parts 1010 and 1022 of 31 CFR Chapter X.
A few examples show the shape of it. § 1010.410 applies its transmittal of funds recordkeeping rules to nonbank financial institutions for transmittals of $3,000 or more. § 1022.320 requires a money services business to report a suspicious transaction that involves or aggregates at least $2,000. § 1022.320 sets a $5,000 reporting threshold for an issuer of money orders or traveler's checks using clearance records. It also says each SAR must be filed no later than 30 calendar days after initial detection. § 1022.320 also says money services businesses shall be examined by FinCEN or its delegatees for compliance with the section. In plain terms, FinCEN can come check.
The broader BSA anti money laundering rules sit behind all of this. MSB FinCEN covers FinCEN's role for these businesses. Registration alone does not make a business compliant.
Doing business without registering
The rule is blunt on this point. § 1022.380 says it is unlawful to do business without complying with 31 U.S.C. 5330 and this section.
That sentence is worth reading twice. It says doing business without complying is unlawful.
